Agreement to Terms

By downloading, installing, or using StyleLens (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

Description of Service

StyleLens is a photo organization application that uses on-device artificial intelligence to help you:

• Sort and organize photos by quality and content
• Learn your personal photo preferences over time
• Curate your photo library more efficiently
• Share your preference profile (StyleDNA) with other users

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any iOS device that you own or control, for your personal, non-commercial use.

Restrictions

You agree not to:

• Copy, modify, or distribute the App or its content
• Reverse engineer, decompile, or disassemble the App
• Remove any copyright or proprietary notices from the App
• Use the App for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the App
• Use the App in any way that could damage, disable, or impair the App
• Use automated systems or software to extract data from the App
• Sublicense, sell, or transfer your rights to use the App

User Content and Photos

Your Photos

• You retain all ownership rights to your photos
• We do not claim any ownership over your photos or content
• Photos are processed locally on your device and are not transmitted to our servers
• You are solely responsible for any photos you process using the App

StyleDNA Sharing

• When you share your StyleDNA profile, you grant recipients permission to use it within the App
• You are responsible for choosing with whom you share your StyleDNA
• Do not share StyleDNA profiles that contain or represent inappropriate content

Subscriptions and Purchases

Free Features

• Quality sorting (Technical and Aesthetic analysis) is always free with no limits
• Sort unlimited photos by quality at any time

Premium Features (My Style & Imported Style)

• Personalized sorting based on your learned preferences
• Import and use StyleDNA profiles from other users
• 7-day free trial for all new users
• After trial: $1.99/month subscription through Apple’s App Store
• Payment is charged to your Apple ID account upon confirmation of purchase
• Subscription automatically renews unless cancelled at least 24 hours before the end of the current period
• You can manage and cancel subscriptions in your Apple ID Account Settings

Refunds

• All purchases are processed through Apple and are subject to Apple’s refund policies
• Contact Apple directly for refund requests: https://support.apple.com/billing

Price Changes

• We may change subscription prices at any time
• Price changes will take effect at your next renewal period
• You will be notified of any price changes in advance

Intellectual Property

Our Property

• The App, including its design, features, algorithms, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws
• The AI models, scoring algorithms, and machine learning systems are our proprietary technology

Open Source Components

• The App may include open source software components
• Such components are subject to their respective open source licenses

Feedback

• If you provide feedback, suggestions, or ideas about the App, you grant us the right to use this feedback without compensation or attribution

Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The results obtained from the App will be accurate or reliable
• Any errors in the App will be corrected

AI Limitations

• Photo quality and content analysis results are generated by artificial intelligence and may not always be accurate
• The App’s recommendations are suggestions only and should not be relied upon for critical decisions
• AI scoring is subjective and may not match your personal assessment

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of data, profits, goodwill, or other intangible losses
• Any damages resulting from:
  • Your use or inability to use the App
  • Unauthorized access to your data
  • Any third-party conduct or content
  • Any content obtained from the App

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless StyleLens and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or share through the App

Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

Modifications to the App

We reserve the right to:

• Modify, suspend, or discontinue the App or any feature at any time
• Update, change, or remove features without notice
• Require you to accept updated versions of the App

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

Modifications to Terms

We may revise these Terms at any time by posting the updated Terms in the App. Your continued use of the App after any changes constitutes acceptance of the new Terms.

For material changes, we will provide notice through:

• An in-app notification
• Updating the “Last updated” date

Termination

By You

• You may terminate your use of the App at any time by uninstalling it
• Active subscriptions must be cancelled through Apple’s App Store

By Us

• We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including:
  • Breach of these Terms
  • Illegal or fraudulent activity
  • Conduct harmful to other users or the App

Upon termination, your right to use the App will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Informal Resolution Before initiating any legal proceeding, you agree to first contact us at stylelensapp@gmail.com to attempt to resolve any dispute informally.

Binding Arbitration Any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the American Arbitration Association’s rules, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

General Provisions

Entire Agreement These Terms, together with the Privacy Policy, constitute the entire agreement between you and StyleLens regarding the App.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries These Terms do not create any third-party beneficiary rights.

Apple-Specific Terms

These Terms are between you and StyleLens only, not with Apple. Apple is not responsible for the App or its content.

Acknowledgements:

• Apple has no obligation to furnish maintenance and support services for the App
• Apple is not responsible for addressing any claims relating to the App
• Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property claim
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you
